    Terms of Service

    1. Introduction

    These Terms of Service ("Terms") govern your use of the services provided by Care Clients (a trading name of Taprave Ltd, Company No. 15518364). By engaging our services, you agree to be bound by these Terms.

    Please read these Terms carefully before using our services. If you do not agree with any part of these Terms, you should not use our services.

    2. Our Services

    Care Clients provides digital marketing services specifically designed for care homes and domiciliary care agencies in the United Kingdom. Our services include but are not limited to:

    • Search Engine Optimisation (SEO)
    • Paid advertising campaigns (Google Ads, Facebook Ads)
    • Website design and development
    • Reputation management
    • Lead generation systems
    • Marketing strategy and consultation

    3. Client Obligations

    By using our services, you agree to:

    • Provide accurate and complete information about your business
    • Maintain a valid CQC registration (where applicable)
    • Respond to communications in a timely manner
    • Provide necessary access to accounts and platforms as required
    • Ensure all content provided to us is accurate and does not infringe third-party rights
    • Comply with all applicable laws and regulations, including CQC and advertising standards

    4. Fees and Payment

    Service fees will be agreed upon before commencement of work and outlined in a separate proposal or contract. Unless otherwise stated:

    • Invoices are due on receipt unless a signed Order Form expressly states otherwise
    • Setup fees are due before work commences
    • Monthly retainers are billed in advance
    • Ad spend budgets are billed separately and directly by the advertising platform
    • Unless stated otherwise, a proposal, quotation or unsigned Order Form is valid for 48 hours from issue

    Late payments may incur interest charges and may result in suspension of services.

    5. Results and Guarantees

    While we work diligently to achieve the best possible results for your business, no specific outcome is guaranteed unless an agreed target and its measurement conditions are expressly written into the signed Order Form. This includes:

    • Specific search engine rankings
    • A guaranteed number of leads or enquiries
    • Specific occupancy rates or revenue increases

    Marketing results depend on many factors including market conditions, competition, and the quality of your services.

    6. Intellectual Property

    Ownership and handover depend on the service model stated in the signed Order Form. Unless otherwise agreed in writing:

    • You retain ownership of your existing brand assets and content
    • A standalone website becomes your property after all agreed website fees are paid
    • A website included within a managed Growth service remains part of that managed service unless it is included after the agreed service period or purchased under the applicable early-handover terms
    • If a managed website is not purchased or included when services end, you are responsible for reverting to, restoring or replacing your previous website
    • We retain the right to use work in our portfolio (without revealing confidential information)
    • Third-party assets (stock images, fonts, etc.) remain subject to their respective licences

    7. Confidentiality

    Both parties agree to keep confidential any proprietary information shared during the course of our engagement. This includes business strategies, financial information, and client data.

    8. Termination

    Unless a signed Order Form states otherwise, recurring Foundation and Growth services have an initial three-month term. After that initial term, the service continues monthly and either party may terminate it by providing 30 days' written notice. During the initial term, cancellation and any agreed remedy are governed by the signed Order Form. Upon termination:

    • Outstanding fees for work completed must be paid
    • Access to accounts and assets will be transferred to you
    • Ongoing advertising campaigns will be paused or transferred

    9. Limitation of Liability

    To the maximum extent permitted by law, Care Clients shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

    Our total liability shall not exceed the fees paid or payable for the initial three-month term or, if the claim arises later, the fees paid in the three months preceding the claim, whichever is greater.

    10. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

    Where an Order Form is accepted electronically, the signer's confirmation and electronic signature record their intention to authenticate and accept that agreement on behalf of the named client.

    11. Changes to Terms

    We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of the modified Terms.
